This course is designed to allow students to work on fundamentals that Corporate and Capital Markets associates need to know.
Students will be taught through lecture, discussion and a combination of activities focused on drafting, negotiating and interpreting public company disclosures, securities offering deal documents and related legal opinions.
The course will emphasize practical knowledge and skills through weekly projects involving discrete tasks, such as reviewing and marking up documents and responding to and negotiating document mark-ups. We will focus on financial statement related disclosures in the MD&A (Management’s Discussion and Analysis) section of SEC filings, transaction-related disclosures and third-party legal opinions delivered in securities offerings. The assignments will include research questions and hypotheticals based on the materials covered. Part of the learning will be about situations that frequently confront corporate associates when answering questions in a law firm environment.
Class time will be devoted to feedback on the previous week’s assignment and setting up the new assignment. Students should have a basic understanding of US contract law and corporate law.
