This is a 4-unit survey course introducing the basic principles of business law, including study of each of the main forms of business entities. The primary focus of the course will be corporate law, including the characteristics and organizational structure of corporations, and the rights and obligations of corporate shareholders, directors, and managers. The course will also introduce agency principles, and other business forms such as partnerships and limited liability companies. Some emphasis will be given to federal securities laws and the impact of federal securities regulation on corporate governance (including insider trading law).
The course is aimed at providing broad coverage for a wide range of students—for example, those taking the course because the subject is a bar exam topic and those taking the course as the start of their deeper education in business law and in their paths to becoming business lawyers. No background in business is required. Regular attendance and active class participation are required. The class will meet on Mondays & Wednesdays.
By the end of this course, you should be able to:
• demonstrate knowledge and understanding of fundamental rules and standards of business law, including regarding forms of business association such as agency, partnerships, corporations, and limited liability companies, as well as the topics of federal securities fraud and insider trading;
• identify the sources of those laws and apply those rules and standards of substantive and procedural law to sets of facts, providing organized objective analysis or persuasive reasoning, communicated effectively both in oral and written form; and
• identify, explain, and evaluate policy principles and debates underlying fundamental rules and standards of business law.
