This intensive, simulation-based course trains students in the use of AI in corporate practice by replicating an M&A due diligence sprint under real-world time pressures. After a brief overview of legal AI, students will be assigned roles as buyer’s counsel (representing a private equity or venture fund) or seller’s counsel (representing a startup and its founders). Over two weekends, they will triage a large dataset of contracts with AI tools, identify and communicate diligence red flags, and translate findings into client-ready outputs.
The course emphasizes not just technical competence but also critical judgment: what kinds of work AI accelerates, where it fails, and how lawyers integrate technology with professional expertise to advise clients. AI is already embedded in transactional and litigation workflows, making legal practice more efficient, but also raising new forms of risk and responsibility. This course prepares students not only to use AI competently, but also to lead in shaping how the profession adapts to its most transformative technology since the rise of the internet.
