In this course we will explore the emerging role of generative AI in transforming the corporate law landscape, with a special emphasis on M&A transactions. Learn about the current and potential applications of generative AI in various aspects of the deal process, such as due diligence, document review, drafting and negotiation. Examine the legal, ethical, and social implications of using generative AI in corporate practice, from the lens of fiduciary duties, professional responsibility, client relations, competition, disclosure obligations and innovation. Draw general conclusions on current impact and best use cases of generative AI in corporate law versus future uses and effects. Revisit basic concepts and terms of M&A. Use generative AI tools in class exercises and assignments, and critically evaluate their strengths and limitations.
Course Requirements: Active participation in class discussions. Weekly reading assignments, consisting of academic articles, professional publications, and selected real deal documents. Students will also be required to complete a final project, which will be a research paper on a topic related to generative AI and corporate law.
Pre-requisites: Corporations (required); additional coursework in securities law or M&A suggested
Evaluation: Class participation (20%); individual markup of nondisclosure agreement (use of genAI is acceptable) (30%); final paper (50%)
