This seminar will explore the functions, duties and obligations of directors of public corporations, with a particular focus on high-pressure, highstakes situations. After discussing the skills and attributes that publicly traded corporations may seek in directors, reasons why individuals may want to become directors, and the duties, obligations and exposure of directors, we will focus on the types of problems addressed by public company boards. Our discussion topics will include corporate takeovers, shareholder activism, crisis management, and CEO succession, as well as strategic and risk oversight and other areas of concern for corporate directors.
