Laws and regulations affect the incentives, constraints, and choices faced by modern business entities. Corporate lawyers help determine how well firms can navigate those legal opportunities in their roles as “transaction cost engineers.” This course will cover the framework of transactions cost economics as it applies to corporate governance, antitrust, corporate reorganizations, and personnel issues. The methodology of the course will include case studies, theoretical models, and more systematic empirical evidence.
The course meets in Gittis 214.
