The goal of this course is for students to understand and experience the process of preparing a startup for early stage financing, including: (i) building a founding team, (ii) start-up due diligence and valuation, (iii) evaluating economics and control, (iv) understanding and interpreting term sheets (financial and governance terms) and (v) preparing and presenting a successful pitch deck.
Students will compete in teams: (i) negotiating a term sheet and (ii) presenting a pitch deck to venture capitalists.
Learnings will be applied to a hypothetical company for which each team will be challenged with developing a winning term sheet followed by a winning pitch deck. The VC Bootcamp culminates with “Demo Day” where each team will be charged with presenting their pitch deck to a panel of actual early-stage VCs. There will be 2-3 guest lectures from experts in the ecosystem so students get a varied perspective.
GOALS 1. Expose students to the challenges and opportunities of using business law to build a successfully funded enterprise 2. Teaching the fundamentals of deal structure and terms, legal agreements, due diligence, small business strategy and operations, and exit strategies 4. Applying the learned concepts in negotiations and presentations
The class will meet on 3/20 and 3/21 and 3/27 and 3/28 from 9:00 am to 5:00 pm.
Business and Corporate Law Learning outcomes: Demonstrate a core understanding of business and corporate law; Perform legal analysis in the context of business and corporate law; Communicate effectively on topics related to business and corporate law; Demonstrate an understanding of the interconnection between the world of business and finance and that of business and corporate law, and how they affect other areas of law and society.
