Real Estate Finance.

This is a drafting and negotiation course that will examine the fundamentals of real estate finance from a legal perspective. The course will attempt to develop skills in the drafting of finance documents and in using legal concepts in a real estate transactional setting. The main topics covered will include the following: drafting and negotiating real estate finance documents; understanding due diligence (entity documents, development permits and approvals, title, etc.); understanding financial covenants as they related to real estate secured financing; leasing; understanding the various types of payment and completion guarantees; and negotiating and drafting multi-lender and work-out documents. Given the importance of negotiation in this course, class participation and attendance will be a large factor in the grading.
