The primary goal of the shareholder activism class is to teach students how to holistically analyze a corporate issuer to include relative performance, strategy, corporate governance/ESG, shareholder base and develop an activist thesis for value creation. The secondary goal of the class is to educate students on the various career paths in shareholder activism and provide a pathway for future employment in the field. Guest lecturers will help demonstrate different perspectives on shareholder activism and exhibit various career opportunities. Wharton students are invited to enroll. Course requirements include: 1. Regular class attendance and participation. 10% of final grade. 2. Peer Analysis, Shareholder Return Analysis- Students will analyze a public company in comparison to its industry peers by performing a total shareholder return analysis over a one-year, three-year and five-year basis. 20% of final grade 3. Operational Execution Analysis- Students will analyze a public company in comparison to its industry peers on capital allocation, margin performance, growth and valuation. 20% of final grade. 4. Corporate Governance, ESG Analysis- Students will analyze a public company in comparison to its industry peers by reviewing its Board composition, shareholder rights, executive compensation and other relevant environmental and social issues. 20% of final grade. 5. Group project - Activist thesis PowerPoint presentation. 30% of final grade.
Business and Corporate Law Learning outcomes: Demonstrate a core understanding of business and corporate law; Perform legal analysis in the context of business and corporate law; Communicate effectively on topics related to business and corporate law; Demonstrate an understanding of the interconnection between the world of business and finance and that of business and corporate law, and how they affect other areas of law and society.
Administrative and Regulatory Law Learning outcomes: Demonstrate a core understanding of administrative and regulatory law and the administrative process, including the role of statutory authorization and work of administrative agencies; Perform legal analysis in the context of administrative and regulatory law; Communicate effectively on topics related to administrative and regulatory law; Demonstrate an understanding of the role administrative and regulatory law play in our legal system and in society as a whole.
