This 2-unit bootcamp course examines venture-backed startups and venture capital contracting from a theoretical and practical legal perspective. Topics of study will span the life cycle of a venture-backed startup from formation of a new venture through venture capital financing rounds and potential exits through acquisition or initial public offering. The rules, practices, and processes by which venture-backed startups are financed, managed, and controlled, and the typical dynamics that play out between venture capitalists and entrepreneurs are a key focus. The main documents used to memorialize a typical venture capital financing and advice for succeeding as a junior associate will be covered. Readings include a variety of materials, including model deal documents, practitioner publications, scholarly literature, statutes, and case law. Students will be expected to attend all class meetings, actively participate, and complete several short exercises/assignments. This course is graded credit/fail only.
Corporations is a prerequisite (students who have previously taken Corporations at Penn Carey Law or who are concurrently taking Corporations are allowed to enroll).
The class will meet: November 1, 2, 15 and 16; Friday times: 9:00-5:00, Saturday times: 9:00-3:00.
