Students are encouraged to stay home if you are ill or experience flu-like symptoms. If you miss a class for any reason, it is still your responsibility to make up the work missed.

I offer the following to students who miss class due to illness:

- Class sessions are regularly recorded. I will make these recordings routinely available on the course site to everyone in the class.

The emphasis of the class will to be to introduce students to concepts and documents regularly associated with transactional drafting - with the intended goal of giving students a head-start when they start their career as an associate. In addition, the class will expose students to different types of transactions and we will discuss the fundamental differences between different types of contracts, including asset/stock purchase agreements. The class will also focus on certain provisions common to all contracts and the varying significance of these provisions depending upon the type of transaction and the client. The class will be discussion (not lecture) based, with weekly drafting assignments that are likely to mirror your transactional drafting assignments as an associate. Class time will be divided between discussing the previous week's assignment and setting-up the new assignment. In some instances form documents will be provided as a starting point. Students should have a basic understanding of US contract law and corporate law.
