The course will combine lecture/discussion, written assignments, and in-class group exercises such as mock negotiation and contract drafting. Over the semester, we will walk through the steps involved in a strategic joint venture, from confidentiality agreement, to high-level deal term sheet, to drafting and negotiating the detailed contract. Each week we will discuss issues that business executives, your clients, focus on and how they are addressed in joint ventures. Readings will come from a variety of sources, including practice articles from business experts and law firms.
