This course examines corporate joint ventures and offers real transactional experiences that a law firm associate or in-house corporate lawyer would encounter in practice. We will discuss the business purposes, strategies, and key contractual elements of joint ventures among well-known corporations involving video streaming services, advertising technologies, amusement parks and more. The course will combine lecture/discussion, written assignments, and in-class group exercises such as mock negotiation and contract drafting. Over the semester, we will walk through the steps involved in a strategic joint venture, from confidentiality agreement, to high-level deal term sheet, to drafting and negotiating the detailed contract. Each week we will discuss issues that business executives, your clients, focus on and how they are addressed in joint ventures. Readings will come from a variety of sources, including practice articles from business experts and law firms. The class is intended to be highly interactive, and participation will make up a substantial portion of your grade. There will be no exams.

Course assignments include: 1. Draft confidentiality agreement 2. Prepare summary of agreement terms for General Counsel 3. Prepare a breach of contract claim summary 4. Presentation: Written deal summary and presentation to Board of Directors
